1. General

Welcome to the digital business card service available at https://bc-dev.nnd.co.il, owned and managed by Tomer Ofer (Netdesign) (the "Operator" or the "Service", as the context requires). The Service enables building a business digital card and publishing it at a public link.

These terms of use (also: the "Agreement" or the "Terms") are worded in the masculine for convenience only, and refer equally to all genders. The terms were written in language understandable to all, and by using the Service you accept them as worded and in full, having understood their content, and you will have no claim of not understanding their meaning. Section headings are for convenience and orientation only and will not be used to interpret the Terms.

We will be happy to assist with any question or clarification, by email at [email protected].

Nothing in this Agreement detracts from or changes any other agreement between the Operator and you. The terms of the Agreement do not create, and shall not be construed as creating, a partnership, joint venture, employer-employee relationship, agency or franchise between the parties. A provision of this Agreement found to be invalid, unlawful or unenforceable will not affect the validity of the other provisions of the Agreement.

2. Consent to the Terms of Use

Please read carefully: by browsing the site, registering for the Service, logging in to the account, building a card, making a payment or any use of the content and services, you declare that you have read and understood the terms of the Agreement and that you agree to all the terms detailed in it and to every notice displayed in the Service. Use of the Service is subject to this consent. If you do not agree to any term of the Agreement, you must refrain from any use of the Service.

These terms of use define the entire relationship between the Operator and the user. The Operator is not a party to any business, financial or other relationship between a card owner and visitors to the card or the owner's customers.

You declare and undertake that you are competent and authorized to enter into this Agreement and that you are at least 18 years old, or that you act on behalf of a corporation authorized to enter into this Agreement. Since the terms of use are a binding legal agreement, we recommend reading them carefully and deciding on that basis whether to approve them and use the Service.

The content may contain wording errors, typographical mistakes, inaccuracies and the like, and the Operator will not bear responsibility for damage caused or that will be caused to the user or any third party in connection with such errors, subject to the provisions of any law.

The terms of use apply to access to the site and to any use of it, including the information, content and services appearing in it or in links to other information sources provided in it, and to any provision of information, and they constitute the legal basis for any engagement or action within it.

  • "Card": a digital business card built in the Service, with all its content, design and buttons.
  • "Card owner": the user who created the card or in whose account the card is registered.
  • "Publication": making the card available to the public at a dedicated address, following payment, as set out in section 5.
  • "Visitor": any person who views or uses a published card.

4. The Service

The Service enables the user to build a business digital card: to choose a template, enter texts (in Hebrew and English), attach a logo and a cover image, choose colors and design, add contact details and link buttons (such as phone, WhatsApp, email, address and social networks), and publish the card at a public link. The card can be built using a regular form or, if the user so chooses, in a chat with an artificial intelligence assistant, as set out in the privacy policy. A card owner who enabled it can allow visitors to save the card as a contact or in a digital wallet.

Building and editing the card are free of charge. Publishing the card to the public requires payment according to the selected plan, as set out in section 5. A card that has not been paid for is not published.

A user who built a card without providing an email address will receive a temporary (guest) account. A guest account on which no payment was made, and the cards in it, will be automatically deleted 30 days after it was created, as set out in the privacy policy. To keep the card, payment must be completed or the account converted to a regular account with real details within this period.

The Service is intended for business use by individuals and corporations. Nothing in these Terms detracts from the rights granted to a consumer under any law, to the extent they apply to the user.

5. Plans, payment and publication period

5.1 Plans and prices

Publishing a card is offered in a monthly plan and an annual plan. The prices of the plans are displayed on the site and on the payment page, including VAT, and the price that applies is the price displayed before the payment is confirmed. The Operator may update prices from time to time, and the update will apply to future payments only.

5.2 Method of payment

Payment is made on the secure payment pages of the payment providers SUMIT and PayPal, subject to their terms. Payment method details are entered with the provider only and are not stored by the Operator. The Operator is not responsible for the operation of the providers, but will act to handle payment problems to the extent the user contacts him.

5.3 Publication period and its end (no automatic renewal)

Payment is a one-time payment for a single period, a month or a year according to the selected plan, starting from the date the payment is confirmed. The payment does not renew automatically and there is no recurring automatic charge; the Operator will not charge the user's payment method without a payment action initiated by the user.

At the end of the paid period the card stops being published to the public: whoever opens the link will not see the active card, but a notice that the card is not published. The card and its content are kept in the account, and publication can be renewed by making another payment for the card, provided it has not been deleted; the dashboard shows a renew button for a card whose period has ended. Renewing before the period ends extends publication from the current expiry date; renewing after the period has ended is counted from the date the new payment is confirmed. The Operator does not undertake to send a reminder before the end of the period, and the card owner must track the expiry date.

5.4 Activation after payment

The card will be published after the Operator receives payment confirmation from the provider. In case of a problem in receiving the confirmation, you may contact us by email and we will try to help.

6. Cancellation of a transaction and refunds

  1. 6.1A customer may have the right to cancel a transaction made remotely, in accordance with the provisions of the Consumer Protection Law, 5741-1981, and the regulations under it, and subject to the conditions and limitations set out in them.
  2. 6.2A customer wishing to cancel a transaction as stated is invited to contact us by email at [email protected], stating his name, the account's email address, the card address and the payment date, and that he wishes to cancel the transaction.
  3. 6.3Handling of the request, entitlement to a refund and its amount will be determined in accordance with the provisions of the applicable law. Nothing in these Terms detracts from a right that the law grants to the customer, and nothing in them grants a right to a refund beyond what is required by law.
  4. 6.4Since payment does not renew automatically (section 5.3), there is no need to cancel a subscription in order to avoid future charges.

7. Changes or updates to the Terms

The Operator may update the terms of use from time to time. Notice of material changes will be given in the Service. The binding version is the version published in the Service at the time of use, and therefore before performing an action in the Service the user is requested to read the terms of use and the privacy policy carefully. Continued use of the Service after the update constitutes consent to the Terms as updated. If you do not agree to the updated Terms, you must refrain from any use of the Service. A change to the Terms will not affect rights accrued before the date of the change for a period that was paid for.

Date of the last update of the Terms: 8 November 2026.

8. Restrictions on use of the Service

The Service must not be used where its use is not permitted under local law. Use of the content, reliance on it and acting according to it may be restricted or even prohibited under the laws of various countries, and therefore every user must check, before use, whether the law applicable to him permits use of the Service and what the permitted manner of use is.

Use of the Service is permitted for lawful purposes only, and only to legally competent users over the age of 18 or to corporations. The user declares that he meets these conditions.

9. Registration, account and security

9.1 Registration as a user

Registration for the Service is done using a name, email address and password, or using a Google or Apple account. Passkeys can be added to the account and two-factor authentication can be enabled using an authenticator app with recovery codes. The Operator may allow from time to time login by additional or different means of identification, on terms he determines.

The user undertakes that the details he provided are correct and accurate, and to update them if they change. The account is intended for the exclusive use of the user or of the corporation he represents, and he may not transfer the right of use to another. The user is solely responsible for maintaining the confidentiality of the password, recovery codes and the devices in which his passkeys are stored, undertakes not to disclose them to a third party, and bears full responsibility for any action performed in his account, whether with his approval or not. The user must notify the Operator without delay of any unauthorized use of his account.

Another person must not be registered without his consent, or without the terms of use having been explained to him. The user declares that he knows that the Operator has no ability to check, screen or filter those who register for the Service.

A guest account is created with an automatically generated password that is displayed once, and with an internal, non-real email address. It is the user's responsibility to save the password and convert the account to real details, since otherwise access to the account cannot be restored, and it will be deleted as set out in section 4.

9.2 Quality of operation

The Service operates over the internet, and without an internet connection or with a slow connection certain capabilities may not work or may not work as required. The user is solely responsible for arranging and paying for such a connection and for any service, equipment or device required for access to the Service.

9.3 The license granted

Subject to the user's compliance with the terms of use, the Operator grants him a limited, personal, non-exclusive, non-transferable license that cannot be assigned or sublicensed and is revocable at any time, to use the Service and its features to build a business card, edit it and publish it in accordance with the Terms (the "License").

The License does not transfer to the user any right in the Service or in connection with it, other than a limited right to use it in accordance with the Terms, the privacy policy and any law. Use of the Service does not grant the user ownership or any other right in the Operator's intellectual property, other than a right expressly granted to him and the right to make reasonable and fair use of the Service for the purpose for which it is intended.

10. Availability of the Service, content and services

The availability and functioning of the Service depend on many factors beyond the Operator's control, including software, hardware, communication networks, service providers, subcontractors and other third parties (including cloud hosting providers, payment and email providers, and artificial intelligence providers). The Operator will not be liable for damage caused as a result of a disruption or failure beyond his control, to the extent he made reasonable efforts to prevent them, and subject to the provisions of any law.

11. Liability for the Service

In this section, every limitation or exemption from liability applies to the maximum extent permitted by law. No provision of the Terms is intended to negate or limit a right or remedy that cannot be waived under law, including consumer rights to the extent they apply.

The Service is intended to be available at all times, but the Operator cannot undertake continuous availability, without faults and without "downtime". The Operator may suspend the Service from time to time for maintenance, upgrade and organization. As a rule, no monetary compensation or credit will be given for faults or short interruptions in the Service, unless otherwise provided by law.

The user declares that he knows that damage or loss may occur due to the materialization of risks inherent in the internet and in computer systems, and that the Operator will not be liable for them, including damage or loss due to: viruses; Trojan horses; eavesdropping on communication lines; breaking into databases, servers or computers; impersonation of the Service or its owner; online scams and fraud; crashes and interruptions in the Service's activity; disruptions or faults in communication lines; temporary or permanent shutdown of the Service, in whole or in part, and the like.

The Operator does not undertake that the Service will not be disrupted, stopped or interrupted, or that it will be immune from damage, defects, failures or faults, in hardware, software or communication, at the Operator or at any of his suppliers, for any reason. The user is aware of this and takes into account that the Service may not be available at all times, or that its availability will be partial, limited or problematic, and he will have no claim against the Operator for such an event beyond his control or that he could not have prevented with reasonable effort.

The Operator will not be liable for any delay, difficulty in use, inaccuracy of information, virus or defect in the Service, nor for any problem or damage caused to the user due to factors beyond his control or that he could not have prevented with reasonable effort.

The Operator will not be liable for incompatibility between the Service and a telephone, computer, browser or other device of the user or of visitors to the card. The user is responsible for ensuring that viruses or other harmful agents do not penetrate his devices or those of others.

Subject to the above, the Operator shall have no tortious, contractual or other liability to the user or any third party arising from use of the Service or reliance on information in it, unless otherwise stated in a document between the Operator and the user. Without derogating from the above, the Operator will not compensate the user or any third party for loss of profits, loss of opportunities or customers, damage to reputation, or any indirect, special, consequential or speculative damage (even if the user warned the Operator of the foreseeable damage or loss), nor any punitive damages, caused in connection with use of the Service or the content appearing in it.

Card content that was created, suggested or edited with the help of artificial intelligence, and automatic processing of images and colors (such as deriving a color scheme from a logo), may be partial, wrong or unsuitable. It is the card owner's responsibility to check the card, the correctness of the details and their suitability before publication and at any time thereafter.

The content in the Service, including templates and examples, is provided as-is, and subject to the provisions of any law. Use of the Service and the content is the user's responsibility. Among other things, the Operator does not guarantee any business results from use of the card, including the number of visitors, inquiries or customers.

Any contact of a user with visitors, customers or other users, in the card, in the Service or outside it, is the sole responsibility of the user. In no case will the Operator be liable for the results of such contact, subject to the provisions of any law.

The user shall have no claim, demand or lawsuit against the Operator other than claims for breach of express undertakings given in these terms of use and for rights that the law does not permit to be waived. The Operator will not be liable for any damage caused in connection with or following use of the Service, except for liability expressly stated in the Agreement or under provisions of law that cannot be waived. The Operator and anyone on his behalf will not be liable for any damage caused by misuse, a fault, use not for the purpose for which the Service is intended, third-party products, or damage that may be caused to any device when using the Service.

12. Changes to the Service

The Operator reserves the right to make changes in the Service, including expansions, removals, improvements, adaptations and any other change, at his sole discretion and without prior notice, including changing the structure of the Service, its appearance, the templates, the scope and availability of the services and content provided in it, and to discontinue the Service's activity, in whole or in part. These changes, including discontinuing activity, may be permanent or temporary, due to the Operator's considerations or due to the conduct of a third party. All this is subject to the provisions of any law.

In case of discontinuation of the Service, the Operator will not be liable to the user or to a third party for damage or loss arising from the discontinuation of the Service, subject to the provisions of any law. The Operator will notify users of material changes in the manner he determines (including a notice in the Service or by email), subject to any law.

13. Card content, public publication and the card owner's responsibility

A published card and all its content are visible to anyone who has the link. Publishing the card is public publication: any person browsing, even without registering, can view all the details in the card, including names, phone numbers, email addresses, addresses, links, logo and images, and copy and save them. Do not include in the card information that is not intended for public publication.

The user is invited to enter into the card and publish content and details on his behalf (the "His content"). The user is solely responsible for his content, for its correctness and lawfulness, and for obtaining all the consents required for it, and must ensure that his content complies with these terms of use and the provisions of any law. Subject to any law, the user undertakes to supervise the content uploaded from his account, and to bear full responsibility for it.

The Operator does not undertake to check or screen card content, and will bear no responsibility for a user's content. However, the Operator may, himself or through anyone on his behalf and at his sole discretion, screen, block, edit, hide, cancel the publication of or remove any content or card, and change the way it is displayed in the Service. In case of suspicion of breach of these provisions the Operator may suspend or cancel the Service for the user immediately, without derogating from any other remedy available to him under any law or agreement.

The user declares and undertakes that the Operator is not and will not be responsible for his content, and that:

  1. 13.1he holds all the licenses, waivers and consents required in connection with his content, including the rights in the logo, images, texts and trademarks appearing in the card, for uploading it to the Service, publishing it to the public and granting the Operator rights to use it;
  2. 13.2if the card includes the name, image, contact details or any other detail of another person (such as an employee, partner or customer), he obtained that person's express consent to publish the details publicly, and the use of them does not infringe his privacy or rights;
  3. 13.3the business details, identity, role, training and licenses displayed in the card are correct, accurate and not misleading;
  4. 13.4the Operator is not and will not be obligated to pay any amount (including royalties) to any party for the use of his content or its display in the Service;
  5. 13.5he grants the Operator a worldwide, non-exclusive, transferable and sublicensable license to use his content, copy it, edit it and display it, for operating the Service and fulfilling these terms of use, without any obligation to pay royalties or any other payment. By publishing the content in the Service, or giving another instruction for that purpose, the license also authorizes the Operator to distribute the content, make it available to the public and broadcast it;
  6. 13.6he waives against the Operator any moral right in his content, and undertakes that he obtained such a waiver for the Operator from every creator of his content.

The content remains the property of its owner, and the said license is intended to allow the Operator to operate the Service. The Operator is not responsible for use that visitors or third parties make of information published in the card.

14. Reporting content and its removal

The Operator is careful to comply with the provisions of the law and respects the rights of users and others. Anyone who believes that a harmful card was published in the Service, a card that displays his details without his consent, a card that infringes his copyright or other intellectual property right, or a card that violates the law, may also contact us by email at [email protected] and ask for its removal, attaching a link to the card and details that allow identifying the claim.

The Operator reserves full discretion in examining the lawfulness or harm of the content requested to be removed, and in deciding whether or not to remove it.

15. Reasonable use of resources

The Operator reserves the right to allocate to the user, in certain cases, a predefined amount of use (including the number of messages in the chat with the artificial intelligence assistant, in particular for a user who has not registered, and the number of images or actions). The user undertakes not to burden the Service or its servers with unreasonable use or use of an exceptional scope.

In case of excess, the Operator may notify the user of it, by email or another notice, and demand that he reduce the scope of use to a reasonable scope, as he defines in his notice. If the excess continues, the Operator may limit or stop the user's use of the Service, without derogating from any other remedy available to him.

16. Prohibited uses

Without derogating from the generality of the above and subject to the provisions of any law, the user declares and undertakes not to use the Service for any of the following:

  1. 16.1harming or disrupting the operation of the Service;
  2. 16.2misuse of the Operator's resources and of the rights granted to the user within the Service;
  3. 16.3circumventing measures the Operator uses to protect users' privacy and the security of the Service, or circumventing the payment mechanism and the restrictions on publishing a card that has not been paid for;
  4. 16.4using the Service for any unlawful, immoral or unauthorized purpose, or harmful, damaging or unreasonable use in relation to the purposes for which the Service is intended, including encouraging, promoting, instructing or assisting another to make such use;
  5. 16.5publishing unlawful, misleading or deceptive content in a card, including false representations about the business, its services, training or licenses;
  6. 16.6displaying false business details, contact details or identity details;
  7. 16.7harming a person's good name contrary to the Prohibition of Defamation Law;
  8. 16.8promoting racism, incitement or discrimination on grounds of religion, race, sex, age, health condition or any other ground;
  9. 16.9publishing images or details of another person, or content that includes third-party intellectual property rights, without his prior approval, license and consent for use in the Service and for public publication;
  10. 16.10infringing copyright, performers' rights, a patent, trademark, trade secret or any other proprietary right of another person, or advertising products and services that infringe such rights;
  11. 16.11publishing pornographic material, prostitution, prohibited gambling or the use of dangerous drugs, including linking to sites that include such content;
  12. 16.12impersonating a person, business or other entity, identity theft, deception or fraud of any kind, including Phishing, Hacking, Cracking, Sniffing, guessing or recovering passwords or any other method;
  13. 16.13wiretapping, infringing privacy or attempting to access another user's private information without his express approval, or any attempt to access an account or a card that is not the user's;
  14. 16.14disrupting the proper operation of a telephone or computer, disrupting material in them or breaking into them using a virus, Trojan horse, spyware or any other means, including contrary to the Computers Law, 5755-1995, and accessing forbidden areas on the server, snooping, using or scanning systems and data;
  15. 16.15transmitting or making available, in any way in connection with the Service, a virus, worm, Trojan horse, bug, spyware, malware, or any code, file or software that may harm or is intended to harm the Service's operation;
  16. 16.16distributing junk mail (spam), sending unsolicited advertising messages, or using the card or the contact details in it to flood or harass, without the recipients' consent as required by law;
  17. 16.17creating a database by systematic downloading and storing of the content, in whole or in part, including using automated tools for scanning, data mining or collecting information from the Service (crawlers, scrapers, automated data mining tools), and including for training artificial intelligence systems;
  18. 16.18modifying, translating or reverse engineering the Service (unless the applicable law expressly prohibits such a restriction), attempting to decipher the algorithms, ideas or methods in the Service, disclosing or exposing the Service's source code, or creating derivative works or copies of it;
  19. 16.19displaying the Service or parts of it within a frame (Framing) of another site, or referring to it in a way that is misleading as to its source;
  20. 16.20copying, displaying, distributing, making available to the public or broadcasting the Service's templates, its designs, or parts of them, by any means, other than within the ordinary use of the Service to build a card;
  21. 16.21selling, licensing or sublicensing, renting, assigning, transferring, pledging or sharing with a third party the user's rights under these Terms;
  22. 16.22any import or export prohibited by law;
  23. 16.23using the Service in jurisdictions in which that constitutes an offense, or in which it would subject the Operator or anyone on his behalf to a registration obligation;
  24. 16.24any action that breaches another undertaking under any law, other agreement or these Terms.

17. Risks related to the internet

The Operator invests efforts in protecting against the risks inherent in the internet, to the extent protection against them is in his hands. However, he cannot completely prevent the penetration and operation of harmful software and hostile elements, such as viruses, worms, Trojan horses, bugs, spyware and malware, which may harm the user's privacy, eavesdrop on network traffic, break into the Operator's databases, servers or computers, impersonate the Service or the Operator, commit online scams and fraud, or harm the Service's operation.

18. Information from third parties and links

Certain information and data in the Service, including card content, may be received, directly or indirectly, from third parties, and are the sole responsibility of their creators. This content is provided as is, without any undertaking or warranty, express or implied. The Operator does not undertake that it will be correct, accurate, current or free of errors, and does not guarantee its continued publication. The Operator does not check its reliability, accuracy or source, and will bear no responsibility in connection with it, including for changes made to it after its publication.

Links to sites or applications that are not the Operator's, including the links that card owners place in their cards, are provided for the user's convenience only. Their existence is not to be regarded as the Operator's consent or endorsement of their content. The Operator has no control over these sites and applications, their availability, content, completeness or suitability for the user's needs, and is not responsible for the copyrights or third-party rights in them. A user who leaves the Service through a link does so at his own risk only, and the Operator will not be liable for any damage, loss or infringement of privacy arising from that, subject to the provisions of any law. We recommend reading the terms of use and privacy policy of such sites and applications and acting with the required caution.

No third-party advertisements are displayed in the Service. The Operator uses advertising measurement to promote the Service itself, as set out in the privacy policy.

19. Direct mail and messages

The Operator sends operational messages relating to the account and the Service, by email, such as address verification, password reset and a reminder about a card that was built and not paid for (once per card).

The Operator may offer the user to join direct mail, in order to update him about publications, news and benefits, including by email and messages ("Direct Mail"). Consent to receive advertising material will be given expressly, and at any stage the user may ask to stop receiving direct mail, by contacting the Operator or using the unsubscribe link in the message. The provisions on direct mail are subject to the provisions of the law, including the Communications Law (Telecommunications and Broadcasting), 5742-1982.

The Operator may run promotions and grant benefits, discounts or coupon codes from time to time at his sole discretion, and discontinue them at any time. Such benefits are personal and non-transferable to a third party.

Subject to the user's consent and the provisions of the law, the Operator may use information for future direct-mail contact, by any means of communication (existing or future), and for any marketing activity carried out by him, as set out in the privacy policy. The Operator will not be limited in transferring general and non-identifying information, at his sole discretion.

20. Privacy

The Service's privacy policy and statement applies to any use of the Service, and is in addition to what is stated in these Terms. Use of the Service constitutes consent to its terms.

Without derogating from the above, the Operator attaches great importance to protecting the user's privacy, does not transfer personal information about his actions to a third party except as set out in the privacy policy (including to his service providers), and will refrain from doing so unless obligated to do so by law, or due to a threat that legal measures (criminal or civil) will be taken against him for actions the user performed in the Service. In such a case the Operator may provide details in accordance with a court order or an instruction of a competent authority. It is clarified that the content of a published card is public, as set out in section 13 and in the privacy policy.

21. Intellectual property

All intellectual property, including moral and economic rights, copyrights, trademarks, trade names, patents, designs, trade secrets and any other right in the Service, including, but not limited to, the design, templates, editing, manner of display and editing of the information in the Service, and the exclusive right in the site's code, are the exclusive property of the Operator or anyone on his behalf, or of third parties who granted the Operator a license to use them.

Without derogating from the above, the site, the pages included in it, the classification, arrangement and display of the information, the messages sent by the Operator and any other illustration included in it, are the exclusive property of the Operator, and are protected under any law, including names, titles, computer code, graphics, operating methods, user lists, and any detail related to operating the Service. Nothing in the above detracts from the provisions of section 13 regarding card content, the intellectual property rights in which remain with its owner.

One must not edit, copy, duplicate, photograph, translate, distribute, display publicly, perform publicly, communicate to the public, store in a database, broadcast, modify, adapt, create derivative works of, adjust, sell or lease the Service, its templates or its content, in whole or in part, directly or indirectly, through a third party or in any way and by any means, other than within the use of the Service in accordance with the License, without prior written consent of the Operator or of the other rights holders, as the case may be and subject to the terms of the consent.

The above is subject, among other things, to the Copyright Law, 5768-2007, to the Trademarks Ordinance [New Version], 5732-1972, and to all intellectual property laws.

Ownership and intellectual property rights in third-party content appearing in the Service, including images, belong to the owners of the content, and may be subject to terms of use of third parties who granted the Operator a license for them ("Third-Party Agreements"). The Operator does not claim ownership of this content and does not assume responsibility for it. The user confirms that the terms of the Third-Party Agreements, including future changes to them, will bind him in connection with use of the Service. Anyone whose rights were infringed may report it as set out in section 14.

22. Cookies and local storage

For its operation, including collecting information about use of the Service, authenticating the user's identity, easier and more convenient use, adapting the Service to the user's needs and preferences, advertising measurement and information security, the site uses cookies, as set out in the privacy policy.

23. Ending use and deleting the account

The user may stop using the Service at any time, delete a card from the dashboard, and also delete his account in the account settings or by contacting [email protected] by email, as set out in the privacy policy. Deleting a card removes it from public display; deleting an account also removes the owner's cards from public display; to have the cards permanently deleted you may contact us by email. Deleting a card or an account does not entitle to a refund, unless otherwise provided by law.

Without derogating from the generality of the above, the Operator may end or cancel these Terms, or suspend the user's right to log in to the Service or use it, in whole or in part, for any reason, including economic viability, with prior notice of 3 business days, and subject to the provisions of any law. In case of cancellation of the user's right, he must immediately cease any use of the Service.

The Operator may cancel the engagement immediately and without notice in any of the following cases:

  1. 23.1the user did not pay the Operator a payment he owes for services he purchased, after receiving notice of it;
  2. 23.2the user did not provide correct identification details;
  3. 23.3the user breached a material term of these Terms or of the other engagement documents;
  4. 23.4the Operator believes, at his discretion, that the Service is being misused in a way that may cause harm to the public, to the Operator or to his users;
  5. 23.5there is a legal restriction on continuing to provide the Service.

In the absence of cancellation, these Terms will remain in effect until use of the Service ends. However, the provisions on intellectual property, license to content, limitation of liability and indemnification will remain in effect even after use ends or the Terms are cancelled. If a provision of the Terms is found by a competent court to be unenforceable, its other provisions will continue to apply and bind the parties.

24. Breach of the Terms

The Operator may at any time suspend, block or immediately stop the user's access to the Service, to the card or to part of them, temporarily or permanently, at his sole discretion, when there is a suspicion that the user breached the provisions of the Agreement or of the law, or for reasons of information security and risk management, in addition to any other remedy available to him under any law.

25. Indemnification

The user shall indemnify and defend the Operator and his predecessors, successors, affiliated companies, officers, directors, shareholders, investors, employees, agents, representatives and attorneys-in-fact, against any loss, damage, cost and expense (including attorneys' fees, experts' fees and any other expense related to legal proceedings or collection), claims and compensation, arising from or in connection with:

  1. 25.1gross negligence or malicious activity of the user;
  2. 25.2the user's use of the Service;
  3. 25.3the user's data and his content, including card content, logo and images, and third-party details published in the card;
  4. 25.4breach of the terms of use by the user;
  5. 25.5the user's use of a third party's intellectual property, or any act or omission of his that infringes a third party's intellectual property rights or privacy, or relevant law.

The Operator shall have a full right of set-off of any amount the user undertook to pay him, against any amount the user is found to be entitled to from the Operator, subject to the provisions of any law.

26. Conflict between the Terms and other agreements

Nothing in the terms of use detracts from or changes any other agreement between the Operator and the user. The user may be subject to additional terms of use in documents relating to the Service ("Additional Terms of Use"). The inclusion of a term of the Additional Terms of Use in these Terms does not detract from the user's being subject to the other terms in the Additional Terms of Use.

27. Governing law

These Terms of Use shall be governed by Israeli law only, regardless of the place where the Service is used, the identity of the user or the identity of the owners of the Service.

28. Jurisdiction

Exclusive jurisdiction in any dispute and matter relating to these Terms of Use and to use of the Service shall be vested in the competent court in Jerusalem.

29. Notices

A notice that the Operator sends to the user at the email address he provided, or as a notice in the Service, will be deemed to have reached its destination. A notice sent by registered mail with a delivery confirmation will be deemed to have reached its destination within three business days of its dispatch, and a notice delivered by hand – at the time of its delivery. Service of documents by registered mail to the user's registered address or to an address he provided to the Operator will constitute valid service, even if he does not permanently reside there. The user undertakes to update the Operator within 14 days of any change in his address or other details he provided.

30. General – additional provisions

No conduct, waiver, refraining from action, delay or postponement by the Operator in exercising any of his rights under these Terms or under law shall be deemed a waiver of any right, consent to a breach, or the granting of an extension, change, cancellation or addition to any term, unless made expressly, in advance and in writing. Such a delay will not prevent the Operator from exercising his rights at a later time.

Nothing in these Terms confers rights on anyone who is not a party to them, and they are not a contract for the benefit of a third party within the meaning of the Contracts Law (General Part), 5733-1973.

The Operator may assign this Agreement, in whole or in part, at his sole discretion. The user may not assign or transfer his rights under these Terms to a third party without the express prior written approval of the Operator, and any unauthorized assignment will be void.
